Associate Counsel
We are seeking a highly motivated and detail-oriented Associate Counsel to join our legal team. This role will be responsible for drafting, reviewing, and negotiating a wide range of commercial agreements, supporting business teams across the organization, and ensuring compliance with applicable laws and company policies. The ideal candidate will have strong business acumen, excellent communication skills, and the ability to manage multiple priorities in a fast-paced environment.
Key Responsibilites:
- Draft, review, and negotiate a variety of commercial agreements, including:
- Master Service Agreements (MSAs)
- SaaS and software licensing agreements
- Vendor and procurement contracts
- NDAs, SOWs, and partnership agreements
- Provide strategic legal advice to internal stakeholders on contract terms, risk mitigation, and business implications.
- Collaborate with cross-functional teams including Sales, Procurement, Finance, and Compliance to support business objectives.
- Develop and maintain contract templates, playbooks, and negotiation guidelines.
- Ensure contracts comply with applicable laws, regulations, and internal policies.
- Support contract lifecycle management processes and tools.
- Assist with training business teams on legal and contractual issues.
Qualifications:
- Juris Doctor (JD) from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- 3 years of relevant legal experience, preferably with a mix of law firm and in-house counsel roles.
- Strong experience negotiating commercial contracts
- Excellent written and verbal communication skills.
- Ability to work independently and collaboratively in a dynamic, fast-paced environment.
- Strong organizational skills and attention to detail.
