Assistant General Counsel - Corporate & Securities

Our client, a multi-billion dollar global organization is seeking an Assistant General Counsel to join their legal team to handle securities, M&A, corporate governance, finance, and commercial contracts on a global scale. This opportunity provides high visibility, the ability to work across several global business units, a competitive compensation package, and reports directly to the General Counsel.

Responsibilities

  • Serve as a trusted legal adviser to senior leaders and cross-functional stakeholders, partnering closely with operations teams to support strategic initiatives and the achievement of business objectives.
  • Provide day-to-day legal advice and counsel on securities law compliance under the Securities Exchange Act of 1934, including oversight of periodic and current reporting (Forms 10-K, 10-Q, and 8-K), Section 16 filings, proxy statements, as well as matters arising under the Securities Act of 1933, including initial public offerings, secondary offerings, shelf registrations, and related disclosure registration issues.
  • Serve as trusted advisor on global corporate strategy, providing advice and counsel on matters including but not limited to M&A, divestitures, joint ventures, and other transactions, from initial structure & strategy through execution and post-closing integration.
  • Support public and private debt and equity financing transactions, including drafting, reviewing, and negotiating transaction documents and coordinating with internal teams and external counsel.
  • Advise and support key corporate functions-including investor relations, finance, treasury, accounting, and corporate communications-on legal issues impacting disclosures, transactions, and public communications.
  • Assist with the development, implementation, and ongoing maintenance of corporate governance policies, procedures, and best practices for domestic and international entities.
  • Manage and support corporate secretarial matters, including preparation and review of Board of Directors and committee agendas, materials, minutes, resolutions, and notices, as well as oversight of subsidiary governance requirements.
  • Provide legal advice and support on a wide range of commercial contracts and global business development activities, including supplier agreements, customer and sales agreements, strategic partnerships, and development agreements.
  • Support Human Resources with the administration and legal oversight of equity compensation, stock-incentive plans, and other employee benefit programs.
  • Monitor, advise on, and help deliver training related to corporate policies and compliance matters, including ethics, insider trading, conflicts of interest, anti-corruption/FCPA, and related company policies.

Requirements

Education

  • Juris Doctor (JD) from an accredited law school with strong academic credentials.
  • Illinois bar license preferred

Experience

  • Minimum of 8+ years of experience of corporate/securities experience, including both in-house and a law firm
  • Preferred: 10+ years of experience at a public manufacturing/materials company.

Compensation:

  • $275,000 - $350,000 base salary
  • Bonus & Equity
  • 401(k), PTO, and other benefits.

Additional Preferred Qualifications

  • Experience working closely with senior management teams and executive leadership.
  • Background supporting or collaborating with professional services firms and consulting organizations.
