Senior Private Equity Transactions Counsel - Elite Alternative Investment Platform
We are currently partnered with a premier investment firm who is seeking a highly skilled Private Equity Transactional Attorney to join their Legal team in NYC to support their dynamic and growing private equity platform. This individual will act as both a strategic partner and trusted legal advisor to key senior leadership, and will focus on legal matters relating to M&A, fund formation, and co-investments. The ideal individual for this role with have significant experience advising private equity sponsors and transactional executiion skills in a high-volume, fast-paced environment
Responsibilities:
- Independently lead and manage complex private equity transactions, including acquisitions, divestitures, and co-investments
- Draft, review, and negotiate various fund formation documents such as LPAs, side letters, and investor agreements
- Advise on portfolio company governance, including corporate structuring, incentive plans, and exit strategies
- Work directly with deal teams, operations, compliance, and external counsel to ensure seamless execution
- Provide strategic legal guidance on investment structures, regulatory compliance issues, and risk management
Qualifications:
- JD from a top-tier law school and membership in good standing of the New York State Bar
- 8-12+ years of experience in private equity transactions, M&A, and fund formation with a mix of law firm and in-house experience
- Deep understanding of the private equity lifecycle and sponsor-side representation
- Ability to manage multiple high-stakes matters independently in a fast-paced environment
- Exceptional drafting, negotiation, and communication skills
