Securitization and Structured Finance Lawyer
A leading financial institution is seeking an experienced attorney to support its structured finance and capital markets activities. This individual will serve as a trusted legal advisor on complex securitization transactions while partnering closely with business, risk, compliance, and other internal stakeholders.
Key Responsibilities:
- Advise on a broad range of securitization transactions, including ABS, RMBS, CMBS, and CLOs.
- Draft, review, and negotiate transaction documents and related financing agreements.
- Provide legal guidance on the development, structuring, and launch of new products and business initiatives.
- Analyze legal and regulatory developments impacting structured finance markets and advise business stakeholders on risk and implementation considerations.
- Partner with compliance, risk, and operational teams to enhance policies, procedures, and governance frameworks.
- Support strategic transactions, regulatory change initiatives, and industry engagement efforts.
- Advise on securities law, corporate finance, bankruptcy, and creditor rights matters relevant to structured finance activities.
- Manage relationships with external counsel and oversee legal spend where appropriate.
- Collaborate cross-functionally with trading, capital markets, risk, compliance, operations, and senior leadership teams.
Qualifications:
- J.D. from an accredited law school and admission to at least one U.S. state bar.
- 10+ years of structured finance, securitization, or capital markets legal experience gained at a law firm and/or financial institution.
- Deep understanding of ABS, RMBS, CMBS, CLOs, and related structured finance products.
- Strong knowledge of securities, finance, corporate, and bankruptcy law.
- Exceptional drafting, negotiation, analytical, and communication skills.
- Ability to manage complex matters independently while working effectively across multiple business groups.
- Commercial mindset with strong judgment and problem-solving capabilities.
