Salary: Cravath ($235,000 - $310,000)

The Opportunity

A leading capital markets practice in New York is seeking a junior to mid‑level Associate with a strong Equity Capital Markets focus to join its team. The role offers hands‑on experience with high‑profile U.S. and cross‑border equity transactions, early responsibility, and direct partner and client exposure. Experience with debt capital markets is valued but equity experience is essential.

The practice advises issuers, underwriters, investors, and financial institutions on sophisticated capital markets matters across a wide range of industries.

Responsibilities

  • Advise on a broad range of equity capital markets transactions, including IPOs, registered follow‑on and secondary offerings, SPAC and de‑SPAC transactions, direct listings, private placements, PIPEs, and ATM programs.
  • Draft and negotiate key equity offering documents, including registration statements, prospectuses, offering memoranda, underwriting and purchase agreements, and related ancillary documentation.
  • Support public company SEC reporting and disclosure, including periodic and current reports, proxy materials, and SEC comment responses.
  • Take ownership of core deal components and manage drafting and execution alongside partners, clients, opposing counsel, and internal teams.
  • Assist on debt capital markets and capital markets-adjacent matters (including investment‑grade or high‑yield offerings, M&A, leveraged finance, and acquisition financings), as needed.

Qualifications

  • JD 2022 - 2024 (or equivalent) from an accredited law school.
  • Admitted to the New York Bar (or eligible).
  • 2+ years of law firm or in‑house experience with a strong focus on equity capital markets.
  • Demonstrated experience on IPO and follow‑on equity offerings; SPAC or PIPE experience is a plus.
  • Debt capital markets experience is preferred but not required.
  • Strong drafting, analytical, and communication skills.
  • Familiarity with SEC reporting and public company disclosure.
  • Ability to manage multiple matters in a fast‑paced New York transactional environment.
  • Collaborative, proactive, and client‑focused, with a long‑term interest in equity capital markets and business law.
