About the Opportunity

Our client is a leading infrastructure and construction organization with operations across the United States. The company is actively pursuing strategic growth initiatives and is seeking an experienced attorney to play a key role in mergers, acquisitions, and corporate development activities. This position offers the opportunity to work directly with executive leadership while supporting complex transactions that drive business expansion.

The Opportunity

Our client is seeking an M&A Attorney to join their legal team. This is a highly visible, business-facing role focused on mergers, acquisitions, divestitures, joint ventures, and other strategic transactions. The position offers the opportunity to manage transactions from initial due diligence through closing and post-acquisition integration, while also advising on a variety of commercial and operational legal matters.

Key Responsibilities

  • Lead and support mergers, acquisitions, divestitures, and joint venture transactions.
  • Draft and negotiate NDAs, LOIs, term sheets, purchase agreements, and related transaction documents.
  • Conduct and oversee legal due diligence efforts and disclosure schedule reviews.
  • Advise business stakeholders on transaction structure, risk allocation, financing considerations, and closing requirements.
  • Coordinate regulatory and compliance matters associated with acquisitions and divestitures.
  • Support post-closing integration initiatives and transaction-related dispute resolution.
  • Partner with business development and executive leadership teams on strategic growth opportunities.
  • Develop and improve transaction templates, internal processes, and legal best practices.
  • Draft and negotiate a variety of commercial agreements, including construction contracts, supply agreements, and leases.
  • Advise operational teams on legal risks, construction-related issues, and general business matters.
  • Manage outside counsel and collaborate with cross-functional teams throughout the organization.
  • Serve as a trusted legal advisor to business leaders across multiple operating companies.

Qualifications

  • Juris Doctor (JD) from an accredited law school.
  • Active U.S. bar admission and good standing.
  • 6-12 years of M&A experience in a law firm and/or in-house legal department.
  • Significant experience handling acquisitions, divestitures, joint ventures, and complex corporate transactions.
  • Strong drafting and negotiation experience with sophisticated transactional agreements.
  • Ability to independently manage transactions from diligence through closing.
  • Excellent analytical, communication, negotiation, and organizational skills.
  • Strong business acumen with the ability to provide practical, commercially focused legal advice.
  • Experience managing outside counsel and working with cross-functional stakeholders.
  • Ability to communicate complex legal concepts to non-legal business teams.
  • Experience within construction, infrastructure, industrial, engineering, or manufacturing industries is preferred.
  • Ability to travel up to 25% and work within a hybrid environment.
