Corporate Governance & Transactions Counsel - Fintech
Our client, a fast‑scaling fintech company is looking to bring on a versatile corporate attorney to join its in-house team. The person in this role will serve as a strategic partner to the leadership team and have a wide scope of responsibilities across the business. The ideal candidate will have experience in Big Law and has worked closely with founders and leadership teams. Responsibilities for the position will include leading the corporate governance function and building processes across the business to ensure growth while partnering with teams across the business on various projects. The ideal candidate will based in the eastern or central time zones.
Job Responsibilities:
- Own the corporate governance function including entity structuring, leading board processes, minutes, approvals and agendas
- Partner closely with leadership team on various projects
- Partner with internal business units on entity management across jurisdictions
- Assist with the development of internal compliance policies and controls
- Drafting, reviewing and negotiating a wide range of agreements
- Manage outside counsel
Qualifications:
- Juris Doctor
- 6+ YOE, ideally from a top tier law firm
- Experience partnering closely with leadership teams and founders
- Ability to operate in a fast-paced environment
- Corporate Governance & SEC Public Filings experience
- Strong project management skills
- Strong interest in crypto/blockchain
