Company Overview

Our client is a well-established real estate investment firm with a diverse portfolio of commercial real estate assets across multiple markets. The firm is seeking an experienced Senior Corporate Paralegal to join its legal team and support a broad range of commercial real estate, corporate, and transactional matters.

Position Summary

The Senior Corporate Paralegal will play a key role in supporting the legal and business teams on commercial real estate acquisitions, dispositions, financings, leasing matters, corporate governance, and contract administration. This individual will work closely with internal stakeholders and outside counsel to manage transactions from inception through closing while maintaining corporate records and ensuring legal documentation is organized and up to date.

The ideal candidate will have a minimum of four years of experience handling commercial real estate transactions, title and survey review, contract management, and corporate paralegal responsibilities, preferably within a real estate investment, private equity, REIT, law firm, or other sophisticated real estate environment.

Key Responsibilities

Commercial Real Estate Transactions

  • Coordinate and assist with commercial real estate acquisitions, dispositions, financings, and development transactions.
  • Manage transaction checklists and closing timelines while serving as a liaison among lenders, title companies, surveyors, brokers, and outside counsel.
  • Review title commitments, surveys, zoning reports, and due diligence materials and assist in resolving title-related issues.
  • Prepare and maintain closing binders and organize transaction documentation.

Corporate & Governance Support

  • Assist with the formation, maintenance, and dissolution of legal entities across multiple jurisdictions.
  • Prepare organizational documents, resolutions, consents, and other corporate governance materials.
  • Maintain corporate records, minute books, and entity management databases.
  • Coordinate annual filings, registrations, and compliance requirements.

Contract Management

  • Draft, review, track, and manage a variety of contracts, including confidentiality agreements, service agreements, vendor agreements, and real estate-related contracts.
  • Maintain contract databases and monitor key dates, renewals, and contractual obligations.
  • Coordinate execution and retention of legal documents through electronic signature platforms and internal systems.

Legal Operations & General Support

  • Assist with legal audits, compliance initiatives, and special projects.
  • Manage legal document organization and records management processes.
  • Support the legal team with research, correspondence, and other day-to-day matters.
  • Coordinate with internal departments and external advisors to facilitate legal workflows and transaction execution.

Qualifications

  • Minimum of 4 years of paralegal experience with significant exposure to commercial real estate transactions and closings.
  • Experience reviewing title commitments, surveys, easements, and due diligence materials.
  • Strong understanding of commercial real estate acquisitions, dispositions, financings, and leasing transactions.
  • Experience with contract administration and lifecycle management.
  • Corporate governance and entity management experience.
  • Paralegal certificate and/or Bachelor's degree preferred.
  • Proficiency with Microsoft Office Suite and legal document management systems.
  • Exceptional organizational skills, attention to detail, and ability to manage multiple priorities simultaneously.
  • Strong written and verbal communication skills.
