Securities & Governance Counsel
Key Responsibilities
- Support SEC reporting and disclosure, including Forms 10-K, 10-Q, 8-K, proxy statements, and annual shareholder meeting materials.
- Assist with Section 16 reporting, insider trading compliance, and 10b5-1 plan administration.
- Partner with Finance, Accounting, Investor Relations, HR, Tax, Treasury, and Communications on public company reporting and governance matters.
- Support board, committee, and subsidiary governance, including meeting materials, resolutions, minutes, and legal entity management.
- Maintain corporate governance policies and documentation.
- Provide legal support on treasury and corporate finance matters, including letters of credit, guarantees, intercompany loans, and bank compliance requests.
- Drive process improvements for recurring SEC, governance, and entity management workflows.
Qualifications
- J.D. and active license to practice law in at least one U.S. state.
- 5+ years of experience at a leading law firm, public company legal department, or combination thereof.
- Experience with SEC reporting (10-K, 10-Q, 8-K), proxy statements, corporate governance, and public company compliance.
- Familiarity with Section 16 reporting, insider trading compliance, and 10b5-1 plans.
- Knowledge of board and committee governance practices and exchange listing standards.
- Treasury and corporate finance experience (letters of credit, guarantees, intercompany loans) preferred.
- Strong communication, project management, and cross-functional collaboration skills.
- Sound business judgment, professionalism, and ability to manage multiple priorities in a fast-paced environment.
