Position Summary
They are seeking a highly organized and detail-oriented Corporate Paralegal to join their dynamic legal team. This role will support the company's legal and compliance functions, focusing on corporate governance, regulatory filings, contract management, and legal entity maintenance across multiple jurisdictions.
Key Responsibilities
- Assist with the formation, maintenance, and dissolution of subsidiaries.
- Prepare and file corporate documents, including board resolutions, annual reports, and meeting minutes.
- Maintain corporate records and ensure compliance with local, state, and international regulations.
- Support contract lifecycle management, including drafting, reviewing, and tracking agreements.
- Coordinate with internal departments and external counsel on legal matters and regulatory filings.
- Conduct legal research and summarize findings for attorneys.
- Assist with due diligence and document production for mergers, acquisitions, and other corporate transactions.
- Manage legal databases and document management systems.
Qualifications
- Bachelor's degree and 9preferred but not required) Paralegal Certificate from an ABA-approved program.
- Minimum of 3-5 years of experience as a corporate paralegal, preferably in a global or multi-jurisdictional environment.
- Strong understanding of corporate governance and compliance requirements.
- Experience with contract management systems and legal entity management platforms.
- Excellent organizational, communication, and analytical skills.
- Ability to manage multiple priorities in a fast-paced, deadline-driven environment.
- Proficiency in Microsoft Office Suite and legal research tools.

- Experience in the transportation, logistics, or supply chain industry.
