Corporate/Transactions Paralegal

Main Responsibilities:

  • Provide comprehensive assistance throughout corporate transactions by preparing documentation, overseeing workflow and timelines, and managing closing logistics and follow‑up requirements.
  • Support attorneys by generating a wide range of legal materials, such as commercial agreements, governance documents, board and shareholder actions, meeting notes, and confidentiality agreements.
  • Oversee and update corporate records, including organizational structure charts and various internal databases connected to entity oversight, transactional activity, compliance obligations, and broader legal matters.
  • Handle corporate filing tasks such as forming new entities, submitting annual and qualification reports, processing dissolutions, filing DBAs, completing name‑change amendments, and coordinating other state or regulatory submissions.
  • Systematically organize, track, and maintain legal files-covering litigation, regulatory, and general corporate materials-within a digital document management platform to ensure accuracy, order, and ease of retrieval.
  • Provide flexible support to the Legal Department by performing various additional legal or administrative assignments as required.

Qualifications:

  • At least five years of hands‑on experience supporting corporate or transactional legal work in a paralegal capacity.
  • Bring a solid grasp of corporate and deal‑related legal processes; familiarity with investment adviser regulatory frameworks and/or corporate governance support is a plus.
  • Hold a bachelor's degree, a paralegal credential, or a comparable blend of training and professional background.
  • Exhibit outstanding organizational abilities, capable of operating with minimal direction while juggling multiple assignments and consistently delivering accurate, timely results.
  • Comfortable using Microsoft Office and modern document management platforms, with the agility to learn and adapt to new software tools quickly.
  • Proven track record of managing competing priorities, maintaining focus under tight deadlines, and performing effectively in a fast‑moving, high‑demand workplace.
