Commercial Litigation Attorney | On‑Site
Responsibilities
Litigation
- Represent and advise the company and its business units throughout all phases of litigation.
- Manage and collaborate with outside counsel to ensure alignment with business and strategic objectives.
- Draft, review, and support the preparation of pleadings, motions, and discovery requests/responses.
- Prepare for and participate in mediations, hearings, and trials.
- Communicate litigation strategies, risks, and status updates to internal stakeholders.
Commercial Transaction Support
- Partner with business teams and Legal Department colleagues to identify and assess legal risks in commercial proposals and ongoing programs.
- Conduct legal reviews of domestic and international contract terms and conditions across diverse agreement types.
- Support complex commercial transactions in the U.S. and abroad.
- Participate in negotiations with customers, suppliers, and strategic partners.
Corporate Governance
- Provide guidance and support on a wide range of corporate governance matters.
- Assist with drafting and reviewing corporate filings, resolutions, and related documentation.
- Ensure compliance with applicable corporate governance laws, regulations, and reporting requirements.
Qualifications
- Juris Doctor (J.D.) from an accredited law school.
- Active bar membership in good standing.
- Minimum of 2 years of litigation experience.
- Strong knowledge of litigation processes, including motion practice, discovery, trial preparation, appeals, and ADR.
- Excellent drafting, negotiation, analytical, and communication skills.
- Demonstrated business acumen with the ability to balance legal risk and commercial objectives.
- Proficiency with Microsoft Office (Outlook, Word, Excel, PowerPoint) and legal research platforms (Westlaw and/or LexisNexis).
- U.S. citizen or permanent resident with the ability to obtain and maintain a DoD security clearance.
- Willingness and ability to travel frequently within the U.S. and occasionally internationally.
