Associate General Counsel - Established Investment Manager
Our client, a dynamic and rapidly expanding investment management firm, is seeking a highly skilled Associate General Counsel to support legal matters related to structured credit and leveraged finance.
Key Responsibilities:
- Provide legal counsel on CLO structuring, issuance, and ongoing management, including warehouse and refinancing transactions.
- Advise on high-yield bond and leveraged loan investments, including covenant analysis and distressed debt scenarios.
- Draft, review, and negotiate offering documents, indentures, collateral management agreements, and related transaction documents.
- Monitor and interpret regulatory developments affecting structured credit and investment vehicles (e.g., SEC, CFTC, Volcker Rule).
- Collaborate with portfolio managers, compliance, and operations teams to manage legal risk and ensure regulatory compliance.
- Support fund formation and investor negotiations for credit-focused vehicles.
Qualifications:
- J.D. and license to practice law in North Carolina (or eligibility for in-house counsel registration).
- 3+ years of legal experience with a focus on CLOs, high-yield debt, or structured finance-either in-house or at a top-tier law firm.
- Deep understanding of securities laws, Investment Advisers Act, and credit market regulations.
- Experience with credit agreements, indentures, and structured product documentation.
- Strong analytical, drafting, and communication skills.
- Ability to work independently and collaboratively in a fast-paced, investment-driven environment.
