Assistant General Counsel
A leading renewable energy platform is seeking an experienced attorney to join its in-house legal team in a highly visible leadership role supporting the development, financing, acquisition, construction, and operation of utility-scale energy infrastructure projects across the United States.
This is an opportunity to work at the center of a fast-growing business, partnering directly with executive leadership and cross-functional teams on some of the industry's most complex and high-value transactions. The position offers broad exposure across project development, project finance, M&A, commercial contracting, and operational matters within the renewable energy sector.
Key Responsibilities
- Lead and support complex project finance transactions, including debt and tax equity financings.
- Negotiate, draft, and close project acquisitions, divestitures, joint ventures, and other strategic M&A transactions.
- Advise development teams on all phases of renewable energy project development, including site control, permitting, interconnection, power purchase agreements, and other revenue contracts.
- Support engineering, procurement, and construction teams on EPC and related construction agreements.
- Partner with asset management and operations teams on commercial agreements and ongoing operational matters.
- Provide strategic legal guidance to senior business leaders on risk allocation, dispute resolution, regulatory considerations, and business initiatives.
- Manage and direct outside counsel while maintaining a hands-on role in negotiations, drafting, and transaction execution.
- Assist with real estate, title, procurement, compliance, vendor contracting, and other general corporate matters as they arise.
- Help drive legal department best practices, processes, and operational improvements.
Qualifications
- J.D. from an accredited law school and active bar membership in at least one U.S. jurisdiction.
- Approximately 12+ years of legal experience with a strong foundation in renewable energy, infrastructure, project finance, M&A, or sophisticated commercial transactions.
- Significant experience negotiating and closing complex energy transactions.
- Strong understanding of utility-scale renewable energy projects and the associated commercial, development, financing, and operational considerations.
- Proven ability to independently lead negotiations and manage multiple high-priority matters in a fast-paced environment.
- Strategic, business-oriented mindset with a practical approach to risk management.
- Exceptional communication, leadership, and relationship-building skills.
