Mergers & Acquisitions Counsel

Our client is seeking an experienced Mergers & Acquisitions Counsel to support a broad range of strategic transactions and corporate initiatives. This attorney will partner closely with executive leadership, business teams, and outside counsel on acquisitions, divestitures, joint ventures, investments, and other complex commercial transactions. The role offers significant exposure to senior decision-makers and will play a key role in executing the company's growth strategy.

Key Responsibilities:

  • Lead and manage all legal aspects of domestic and international M&A transactions, including acquisitions, divestitures, joint ventures, and strategic investments.
  • Draft, review, and negotiate purchase agreements, confidentiality agreements, letters of intent, joint venture agreements, and ancillary transaction documents.
  • Coordinate legal due diligence efforts and advise internal stakeholders on transaction-related risks and mitigation strategies.
  • Partner with finance, tax, compliance, operations, and business leadership teams throughout the transaction lifecycle.
  • Support post-closing integration activities and ongoing governance matters.
  • Manage and oversee outside counsel to ensure efficient and cost-effective legal support.
  • Provide legal advice on general corporate matters, governance, and strategic business initiatives.
  • Assist with commercial contracting and other corporate legal matters as needed.

Qualifications:

  • Juris Doctor (JD) from an accredited law school and active bar membership.
  • 5+ years of experience practicing corporate law with a strong emphasis on mergers and acquisitions.
  • Experience gained at a leading law firm and/or in-house legal department.
  • Demonstrated ability to independently manage complex transactions from inception through closing.
  • Strong drafting, negotiation, analytical, and project management skills.
  • Ability to work effectively in a fast-paced environment and collaborate with cross-functional stakeholders.
  • Experience within energy, infrastructure, industrial, manufacturing, or other asset-intensive industries is a plus.
