M&A/PE Associate Attorney

A leading Am Law 200 firm is seeking a highly skilled M&A / Private Equity Associate to join its dynamic Corporate team. This role offers the opportunity to work on sophisticated transactions for domestic and international clients, including private equity sponsors, portfolio companies, and strategic buyers. The ideal candidate will have strong experience in mergers and acquisitions, joint ventures, and corporate governance, as well as a solid foundation in general corporate and commercial matters.

Key Responsibilities:

• Advise clients on M&A transactions, including structuring, due diligence, drafting, and negotiating purchase agreements and ancillary documents.
• Handle private equity investments, including fund formation, portfolio company transactions, and exit strategies.
• Draft and negotiate joint venture agreements, shareholder agreements, and governance documents for complex corporate structures.
• Provide counsel on corporate governance, compliance, and entity structuring for domestic and cross-border transactions.
• Collaborate with multidisciplinary teams to address tax, regulatory, and financing aspects of transactions.
• Manage client relationships and contribute to business development initiatives within the practice group.

Qualifications:

• JD from an accredited law school; strong academic credentials required.
• 3-6 years of experience in M&A and private equity transactions at a leading law firm.
• Demonstrated ability to draft and negotiate complex transaction documents and governance agreements.
• Excellent analytical, organizational, and communication skills.
• Admission to an applicable state bar
