Leveraged Finance Lawyer

Overview

An international financial institution is looking to appoint an experienced Leveraged Finance Lawyer to its London legal team.

This is an opportunity to move closer to the commercial side of leveraged finance without stepping away from complex transactional work. You'll sit alongside the business on sophisticated financing matters, gaining visibility over transactions from the initial structuring and negotiation stages through to more complex situations where priorities, security or restructuring become important.

The position offers a genuinely international workload and the opportunity to become a trusted legal adviser to the teams originating and executing transactions.

Responsibilities

Rather than operating purely as a transaction lawyer, you'll have a wider advisory role across the leveraged finance business.

Your work will include:

  • Taking ownership of legal matters arising across leveraged finance transactions.
  • Negotiating key financing documents and helping shape solutions around more complex deal points.
  • Advising on financing structures, security arrangements and the respective rights of different creditor groups.
  • Supporting the business when transactions become more complex, including situations involving amendments, restructurings or enforcement considerations.
  • Working closely with deal teams to identify material legal risks and find commercially workable ways forward.
  • Collaborating with lawyers across the international legal function on cross-border matters.
  • Contributing your expertise beyond individual transactions through knowledge sharing and wider legal initiatives.

Requirements

  • Qualified solicitor in England & Wales or New York with approximately 4-8 years' PQE.
  • Experience gained within a leading law firm and/or a major financial institution.
  • Strong, hands-on leveraged finance experience, with the ability to take ownership of complex transactions.
  • In-depth knowledge of leveraged finance documentation, including the financing, security and intercreditor aspects of a deal.
  • Experience working on European and US leveraged finance transactions.
  • A strong understanding of security structures and creditor rights, and how these considerations impact a transaction.
  • The ability to identify the key legal and commercial risks within complex financing arrangements and communicate them clearly to business stakeholders.
  • The confidence to manage matters independently and work directly with transaction and business teams.
