Corporate Associate

A well-established corporate platform is seeking a junior to mid-level attorney to join its expanding transactional practice across its Seattle, Portland, and San Francisco offices. This opportunity offers the chance to work directly with private companies, investors, founders, and management teams on a wide range of sophisticated transactional matters across the middle market and innovation economy.

The position involves advising clients throughout the lifecycle of a transaction, from initial structuring and due diligence through negotiation and closing. Attorneys will gain significant exposure to mergers and acquisitions, venture capital transactions, corporate governance matters, and general business counseling while working closely with experienced practitioners in a collaborative environment.

Key responsibilities include:

  • Advising private companies, investors, and founders on mergers, acquisitions, strategic investments, and other corporate transactions.
  • Supporting emerging growth companies on entity formation, corporate governance, and day-to-day legal matters.
  • Assisting with venture financing transactions, including seed, Series A, and later-stage financings.
  • Drafting and negotiating purchase agreements, financing documents, governance materials, disclosure schedules, and related transaction documents.
  • Managing due diligence processes and coordinating transaction workstreams.
  • Working directly with management teams, investors, sponsors, and founders to drive transactions through closing.
  • Collaborating with professionals across complementary disciplines on complex matters.

Qualifications:

  • 1-5 years of experience handling corporate transactional matters.
  • Experience with mergers and acquisitions, venture financings, emerging growth companies, and general corporate work is preferred.
  • Strong drafting, negotiation, analytical, and organizational skills.
  • Ability to manage multiple matters in a fast-paced, team-oriented environment.
  • Demonstrated interest in advising private companies, investors, and entrepreneurs.
  • J.D. from an accredited law school and admission, or eligibility for admission, in the applicable jurisdiction.

Highlights of the opportunity:

  • Work on sophisticated middle-market transactions and high-growth company matters.
  • Exposure to technology, startup, venture capital, and private equity ecosystems.
  • Meaningful responsibility and direct client interaction early in your career.
  • Strong mentorship and hands-on training from experienced practitioners.
  • Collaborative culture with lean deal teams and significant ownership of matters.
  • Opportunity to build long-term relationships with founders, investors, and growing businesses.
  • Openings available in Seattle, Portland, and San Francisco.

This role is ideal for attorneys looking to broaden their corporate practice, gain direct exposure to clients and transactions, and develop their skills within a collegial, growth-oriented platform.
