The Opportunity
Our client is seeking a Senior Commercial Counsel to support critical commercial and development activities across its renewable energy portfolio. This role is a hands-on, individual contributor position reporting to the Assistant General Counsel and working closely with asset management, development, business development, and finance teams.
The Senior Commercial Counsel will play a key role in drafting and negotiating core commercial agreements, supporting due diligence and financings, advising on contract administration and dispute matters, and ensuring compliance with applicable regulatory and governance requirements. The role is remote within the Eastern Time Zone, with limited travel as needed.
Key Responsibilities
- Draft, negotiate, and manage a wide range of commercial and development agreements, including letters of intent, term sheets, power purchase agreements, purchase and sale agreements, community solar agreements, REC agreements, interconnection agreements, and service agreements.
- Support due diligence for project acquisitions, dispositions, and financings, and assist the finance team with consents, estoppels, notices, and other closing deliverables.
- Advise business teams on contract administration, enforcement, amendments, and key notices to protect contractual rights.
- Support dispute management and resolution efforts, including fact development, issue analysis, and coordination with outside counsel.
- Assist with regulatory and programmatic compliance matters impacting operating assets and project companies.
- Provide support on development permitting and site-specific legal issues as needed.
- Draft and support corporate governance materials, including consents and resolutions, and contribute to other legal matters as required.
Qualifications
- Juris Doctor from an accredited law school; active bar admission in good standing required.
- 7+ years of legal experience in-house or at a law firm, with significant commercial contract drafting and negotiation experience.
- Prior experience in the renewable energy industry strongly preferred.
- Proven ability to manage multiple projects, meet deadlines, and operate effectively in a fast-paced, growth-oriented environment.
- Strong written and verbal communication skills, attention to detail, and sound legal judgment.
- Collaborative, self-directed professional with the ability to work cross-functionally and independently.
