A fast-growing energy infrastructure platform is seeking a Project Counsel to support the development and management of a diverse portfolio of modern power assets. The company develops, owns, and operates large-scale generation projects across the U.S., delivering mission-critical power to data centers, hyperscalers, utilities, and other large-load customers.

The Role
As Project Counsel, you will partner closely with development, commercial, and asset management teams to lead legal support across the lifecycle of energy projects-from early-stage development through commercial operation.
A key focus of this role is drafting and negotiating offtake arrangements, including Power Purchase Agreements (PPAs) and tolling agreements, making direct experience in these areas highly desirable.
Key Responsibilities
- Draft, review, and negotiate a broad range of commercial agreements, including:
- Power Purchase Agreements (PPAs) and tolling agreements
- EPC and construction contracts
- Interconnection agreements
- Supplier, consulting, and services agreements
- Land, lease, and option agreements
- Financing and credit-related agreements (including tax equity and project finance structures)
- ISDAs and other commodity-related agreements
- Advise project teams on commercial risk allocation and contract strategy
- Provide legal guidance on permitting, environmental, regulatory, and licensing matters
- Support project structuring, including entity formation and governance documentation
- Partner cross-functionally with development, finance, engineering, and commercial teams
- Manage outside counsel relationships, budgets, and deliverables
- Support project execution across multiple technologies, including natural gas, solar, and battery storage
Qualifications
Required
- Juris Doctor (JD) from an accredited law school
- Active bar membership in good standing
- 4-6 years of legal experience, preferably in a top law firm or in-house role
- Strong background in commercial contracting and transactional law
- Direct experience with PPAs and/or tolling agreements
- Demonstrated experience drafting and negotiating complex agreements
