The Opportunity
Our client is seeking an experienced Corporate Counsel to support complex infrastructure and energy projects. This role will focus on negotiating and advising on EPC, design-build, construction, and commercial agreements from the proposal stage through project execution.
The position can be based in Houston, TX, Overland Park, KS, or Scottsdale, AZ.
Key Responsibilities
- Draft, review, and negotiate EPC, design-build, CMAR, MSA, and other commercial agreements.
- Partner with project, procurement, and operations teams on subcontractor, vendor, and joint venture agreements.
- Provide legal guidance throughout project execution, including change orders and contract disputes.
- Support claims management, litigation matters, and regulatory investigations as needed.
- Advise internal stakeholders on contractual risk and business strategy.
- Participate in contract negotiations and travel to company offices or project sites as required.
Qualifications
- Juris Doctor from an ABA-accredited law school and active bar membership.
- 5-10 years of transactional or commercial legal experience.
- Experience negotiating complex commercial contracts and working directly with business stakeholders.
- Background in construction, engineering, infrastructure, energy, or EPC contracting required.
- Experience supporting power generation, transmission, distribution, or other large-scale infrastructure projects preferred.
- M&A and/or joint venture agreement experience is a plus.
- Strong negotiation, communication, and analytical skills.
- Ability to manage multiple priorities in a fast-paced environment.
