Lead Counsel

A growing renewable energy platform with a portfolio of utility-scale solar, wind, and energy storage projects is seeking an experienced attorney to serve as Lead Counsel. This is a highly visible role reporting directly to the General Counsel and partnering closely with development, engineering, construction, asset management, and finance teams across a diverse project portfolio.

This opportunity is ideal for a commercially minded attorney who enjoys working at the intersection of legal strategy, project execution, and risk management within the renewable energy sector.

Key Responsibilities

  • Lead the negotiation, drafting, and administration of EPC, equipment supply, and O&M agreements supporting utility-scale renewable energy projects.
  • Advise internal stakeholders on contract strategy, risk allocation, change orders, claims management, warranty provisions, and dispute resolution throughout the project lifecycle.
  • Provide legal guidance on procurement strategies for major equipment and construction packages.
  • Counsel business teams on tariff exposure, trade policy considerations, and supply chain risk allocation.
  • Support tax credit and incentive-related contracting matters, including domestic content, prevailing wage and apprenticeship requirements, FEOC considerations, and related compliance obligations.
  • Collaborate with project finance and tax equity teams on diligence processes, lender requirements, and construction-related transaction matters.
  • Develop and improve contracting templates, internal processes, and best practices to support a growing platform.
  • Manage outside counsel and balance legal risk with practical business objectives.
  • Assist with M&A, project acquisitions, and other corporate or commercial matters as needed.

Qualifications

  • J.D. and active U.S. bar admission.
  • Approximately 10+ years of experience supporting renewable energy construction and procurement matters.
  • Extensive experience negotiating and managing EPC, procurement, supply, and O&M agreements for utility-scale renewable energy projects.
  • Strong understanding of risk allocation principles in construction and infrastructure contracting.
  • Familiarity with renewable energy tax incentives and related contractual considerations, including domestic content and prevailing wage requirements.
  • Experience navigating tariff exposure and supply chain-related contracting risks.
  • Exposure to project finance, tax equity transactions, project development, or M&A is preferred.
  • Ability to operate independently while partnering effectively with executive leadership and cross-functional business teams.
  • Strong commercial judgment, negotiation skills, and practical problem-solving abilities.
