The Role
A leading international law firm is seeking a talented Tech Transactions Associate to join its highly regarded Technology & Commercial practice in London. This is an exciting opportunity to work with a team advising some of the world's most innovative technology companies, high‑growth scale‑ups, global corporates, and major investors.
The successful candidate will gain exposure to complex, high‑value commercial technology matters, often with an international dimension, and will be involved in a variety of strategic technology projects and transactions.
Key Responsibilities
- Advising on a broad range of complex commercial technology agreements, including:
- Software licensing and development contracts
- SaaS, cloud and hosting arrangements
- Professional services, support and maintenance agreements
- IT outsourcing, BPO, and managed services
- Agile development, digital transformation, and integration projects
- Supporting corporate teams on the technology aspects of M&A, joint ventures, and investments.
- Drafting and negotiating technology, IP, and commercial provisions in transactional documentation.
- Advising on data, cybersecurity, and digital regulatory considerations as they relate to commercial contracting.
- Working directly with clients and internal stakeholders in a fast‑paced, intellectually challenging environment.
- Mentoring junior associates and contributing to legal know‑how, precedents, and client training.
Candidate Profile
- England & Wales qualified solicitor with 3-5 years PQE at a reputable City or international firm.
- Strong experience in commercial technology transactions and IP‑rich commercial agreements.
- Comfort advising on cloud services, SaaS business models, agile methodologies, and digital transformation projects.
- Understanding of data protection (including GDPR) in a commercial contracting context.
- Excellent drafting and negotiation skills with a meticulous attention to detail.
