Senior Counsel
An independent power producer is seeking a Senior Counsel to join its legal team, supporting the company's strong track record of developing, financing, and operating utility-scale energy projects across North America. The ideal candidate will be a highly skilled transactional attorney with experience in energy infrastructure projects, particularly in the renewables and power sectors. This role offers the opportunity to work on complex, high-value transactions and provide strategic legal support across the full lifecycle of energy assets.
Responsibilities:
- Draft and negotiate EPC contracts, including full-wrap and split-scope structures, equipment supply agreements, and construction management arrangements.
- Lead legal review and negotiation of offtake agreements, including PPAs, hedge agreements, and tolling arrangements.
- Review and negotiate interconnection agreements with utilities and ISOs, including generator interconnection procedures and network upgrade cost responsibilities.
- Advise on and negotiate ISDAs, Credit Support Annexes, and related documentation for commodity hedging.
- Support negotiation and execution of credit agreements, including construction loans, term loans, and revolving credit facilities; coordinate with lenders and counsel on collateral packages and closing deliverables.
- Draft and negotiate site control agreements, including leases, easements, and option agreements, ensuring title and survey compliance.
- Provide legal support for M&A transactions, including asset and equity acquisitions, joint ventures, and divestitures.
- Advise on secured finance transactions, including UCC filings, intercreditor agreements, and lien perfection.
- Support corporate governance and entity formation for project companies and holding structures.
- Draft and negotiate commercial contracts, including service agreements, consulting agreements, NDAs, and vendor terms.
- Monitor regulatory developments affecting project finance, tax equity, and energy markets, and advise stakeholders accordingly.
Qualifications:
- J.D. from an accredited law school and admission to practice in at least one U.S. jurisdiction.
- 5+ years of legal experience.
- Demonstrated expertise in energy project development, project finance, and commercial transactions.
- Strong understanding of the U.S. power markets, including regulatory frameworks and market structures.
- Excellent drafting, negotiation, and communication skills.
- Candidates must be local to or willing to relocate to Boston, MA or Houston, TX, and able to work in a hybrid work environment.
