Tax and Real Estate Counsel (Remote)

A highly regarded real estate legal group that works on a national basis, is seeking a seasoned Tax Attorney at the Counsel level to join their transactional practice team. The ideal candidate will have deep expertise in real estate transactions, state and local tax planning, and federal tax credit programs, particularly those involving individual properties. This role is pivotal in structuring efficient, cost-effective transactions and advising clients on complex tax implications across Pennsylvania and the City of Philadelphia, as well as nationally. The position can be structured in a primairly remote setup.

Key Responsibilities:

  • Transactional Tax Advisory

    • Advise on tax structuring for real estate acquisitions, dispositions, and joint ventures.
    • Identify and implement strategies to minimize tax liabilities and optimize transaction efficiency.
    • Counsel clients on Pennsylvania and Philadelphia-specific tax issues, as well as federal laws, including transfer taxes, capital gains, and depreciation recapture
  • Real Estate Tax Expertise

    • Navigate Philadelphia's and federal real estate tax regulations, including homestead exclusions, abatements, and opportunity zone incentives
    • Provide guidance on property assessments, exemptions, and appeals.
  • Tax Credit Advisements

    • Advise clients on eligibility and compliance for various real estate tax credits across different property styles.
    • Ensure compliance with prevailing wage and apprenticeship requirements for qualifying projects.
  • Local & State Tax Planning

    • Analyze and advise on Pennsylvania, Philadelphia, and national tax codes affecting real estate and business transactions, especially with individual properties.
    • Structure deals to leverage available credits, exemptions, and deferrals.
  • Client Representation & Compliance

    • Represent clients before tax authorities in audits, disputes, and appeals.
    • Conduct legal research and draft memoranda on complex tax issues.

Qualifications:

  • J.D. from an accredited law school and LL.M. in Taxation.
  • Active bar admission to practice in state of residency.
  • Minimum 8 years of experience in tax law, with a focus on real estate transactions.
  • Strong knowledge of Pennsylvania and Philadelphia tax regulations.
  • Experience with federal tax credits.
  • Excellent drafting, negotiation, and analytical skills.
  • Ability to work independently and collaboratively across practice groups.
