Job Title: In‑House Counsel - Commercial & Contracts

Location: Tucson, Arizona (Hybrid or On‑Site)
Reports To: General Counsel / Chief Legal Officer (or senior business leader, as applicable)

About the Company

Our client is a growing manufacturer headquartered in the Tucson, Arizona area, delivering innovative products to customers across domestic and international markets. As we continue to scale, we are building internal legal capabilities to support sales growth, strategic partnerships, and operational excellence.

Key Responsibilities

Commercial Contracts

  • Draft, review, negotiate, and manage a broad range of commercial agreements, including:
    • Sales and supply agreements
    • Licensing agreements (technology, IP, and product licensing)
    • Distribution, reseller, and OEM agreements
    • Non‑disclosure agreements, terms and conditions, and framework agreements
  • Partner closely with sales and commercial teams to enable revenue while managing legal and business risk.
  • Develop and maintain standard contract templates, playbooks, and approval processes.

Business & Strategic Support

  • Provide clear, practical legal advice to internal stakeholders on contract interpretation, risk allocation, and compliance with company policies.
  • Support cross‑functional initiatives involving new products, markets, customers, or business models.
  • Assist with the legal aspects of customer pricing, warranties, indemnities, and limitation of liability provisions.

Risk Management & Compliance

  • Identify contractual and operational risks and recommend mitigation strategies aligned with business objectives.
  • Ensure contracts comply with applicable laws and regulations, including U.S. commercial law and relevant international considerations.
  • Support compliance with internal governance and record‑keeping requirements.

Collaboration & Process Improvement

  • Work closely with procurement, finance, operations, and leadership to align contracts with business needs.
  • Help implement scalable contract management and workflow processes as the company grows.
  • Manage outside counsel on specialized matters, as needed.

Qualifications

Required

  • Juris Doctor (J.D.) from an accredited law school.
  • Active license to practice law in at least one U.S. jurisdiction; ability to practice in Arizona or eligibility for Arizona registration preferred.
  • 3+ years of legal experience, with significant focus on commercial contracts.
  • Demonstrated experience negotiating sales, licensing, and commercial agreements.
  • Strong drafting, negotiation, and analytical skills.
  • Ability to communicate legal concepts clearly to non‑legal stakeholders.

Preferred

  • Prior in‑house experience, particularly within manufacturing, technology, or industrial companies.
  • Experience supporting sales teams and revenue‑generating activities.
  • Familiarity with supply chain, distribution, and IP‑related agreements.
  • Comfortable working in a growing or evolving corporate environment.
