About the Company

Our client is a rapidly growing manufacturer serving diverse industries with a strong focus on operational excellence, innovation, and customer satisfaction. As their business expands, they are seeking an experienced In‑House Counsel to lead and strengthen their commercial contracting function, partnering closely with teams across sales, supply chain, logistics, and product development.

Key Responsibilities

Commercial Contracting

  • Draft, negotiate, and manage a broad range of commercial agreements, including:
    • Sales agreements
    • Distribution agreements
    • Manufacturing and supply agreements
    • Logistics and transportation contracts
    • Licensing, technology, and IP‑related agreements
    • NDAs and other ancillary commercial documents
  • Ensure contract terms align with business objectives while mitigating legal and operational risk.

Business Partnership

  • Serve as a trusted advisor to leadership and internal teams, including sales, procurement, operations, logistics, product management, and finance.
  • Provide clear, actionable legal guidance to support strategic initiatives, customer engagements, and new product launches.
  • Educate business partners on key legal concepts, contract processes, and risk mitigation strategies.

Compliance & Risk Management

  • Help develop and maintain contract standards, playbooks, and policies to enable scalable contracting processes.
  • Identify and address legal risks in commercial transactions and ensure compliance with applicable laws and regulations.
  • Support the development and protection of company intellectual property, including licensing strategy and enforcement considerations.

Cross‑Functional Collaboration

  • Work closely with operations and logistics teams to negotiate freight, warehousing, and distribution arrangements.
  • Partner with supply chain teams on supplier onboarding, quality requirements, and performance frameworks.
  • Collaborate with finance on pricing terms, revenue recognition considerations, and contract lifecycle management.

Qualifications

  • Juris Doctor (JD) from an accredited law school; active membership in at least one U.S. state bar (Arizona bar membership or willingness to obtain in-house counsel registration is preferred).
  • 3+ years of legal experience.
  • Background in manufacturing, supply chain, logistics, industrial products, or related sectors strongly preferred.
  • Experience negotiating licensing agreements and understanding of intellectual property fundamentals.
  • Exceptional drafting skills and attention to detail.
  • Strong business acumen with the ability to balance legal considerations and commercial priorities.
  • Ability to work independently in a fast‑growing organization and manage multiple projects simultaneously.
