About the Role
A well-established investment management firm is seeking a highly skilled Transactional Attorney to join its in‑house legal team. This attorney will support a wide range of commercial, corporate, and transactional matters central to the firm's operations, investment activities, and strategic initiatives. The ideal candidate is a collaborative, business‑oriented lawyer who thrives in a fast-paced environment and is capable of managing significant responsibility with precision and judgment.
Key Responsibilities
- Draft, review, and negotiate a broad range of commercial agreements, including vendor agreements, NDAs, service contracts, software/technology agreements, and advisory/consulting arrangements.
- Support corporate transactions, including mergers and acquisitions, joint ventures, restructurings, and other strategic initiatives.
- Advise internal stakeholders across legal, finance, operations, compliance, and investment teams on contractual, regulatory, and general corporate matters.
- Assist with corporate governance tasks, including entity formation, maintenance, and organizational documentation.
- Provide legal analysis on risk, structure, and terms for business initiatives and help implement best practices across the organization.
- Manage outside counsel relationships and ensure high-quality, cost‑effective representation.
- Contribute to ongoing improvements in legal processes, contract templates, and internal policies.
Qualifications
- J.D. from a top‑tier law school.
- 5-8 years of relevant experience obtained at a leading law firm; in‑house experience is a plus but not required.
- Solid background in commercial contracts, M&A, private transactions, or general corporate work.
- Strong drafting, negotiation, and communication skills.
- Demonstrated ability to balance legal risk with practical business considerations.
- High attention to detail, excellent organizational skills, and the ability to manage multiple matters simultaneously.
