Sr. Corporate Counsel / Associate General Counsel

Our client is a publicly traded global Medical Device company seeking a Senior Corporate Counsel or Associate General Counsel to join its growing Legal team. Reporting directly to the General Counsel, this individual will serve as a strategic advisor to executive leadership on securities law compliance, corporate governance, capital markets activities, and complex corporate transactions while also supporting broader legal and compliance initiatives across the organization.

The role reports directly to the General Counsel, who views this hire as a potential successor. Therefore, the immediate need is for someone to support the securities and corporate function, it is an excellent opportunity for someone who is looking to expand beyond that scope, gain broader exposure across the legal function, and position themselves for future leadership within the organization.

Key Responsibilities

  • Advise executive leadership on public company compliance obligations, securities laws, and corporate governance matters
  • Prepare, review, and support periodic securities filings, public disclosures, and investor communications
  • Provide legal guidance related to Board of Directors matters, committee governance, and corporate secretarial activities
  • Support equity and debt financings, mergers and acquisitions, and other strategic corporate transactions
  • Counsel internal stakeholders on disclosure obligations, insider trading compliance, and securities regulations
  • Assist with global corporate governance and subsidiary management activities
  • Partner with commercial, compliance, regulatory, and operational teams on a variety of legal matters
  • Support enterprise risk management and compliance initiatives across the business
  • Collaborate cross-functionally to provide practical, business-oriented legal advice
  • Serve as a trusted legal partner to senior leadership on strategic business initiatives

Qualifications

  • Juris Doctor from an accredited law school and active bar membership
  • 5+ years of legal experience in a law firm and/or publicly traded company environment
  • Experience advising on securities law matters and public company reporting requirements
  • Strong knowledge of Securities and Exchange Commission regulations, corporate governance, and capital markets transactions
  • Experience supporting executive leadership and Boards of Directors
  • Healthcare, life sciences, medical device, or highly regulated industry experience preferred
