Senior Counsel - Commercial Contracts
Our client's Business Law Group is seeking a Senior Counsel with strong experience in commercial contracts and transactional matters to join their team. This is an excellent opportunity for an attorney who enjoys sophisticated work without the pressure of traditional BigLaw billable requirements. The role offers flexibility, a fully remote arrangement, and the chance to work with a collaborative team serving diverse clients across industries.
Senior Counsel Key Responsibilities:
- Draft, review, and negotiate a wide range of complex commercial agreements, including master service agreements, supply agreements, technology and SaaS contracts, licensing agreements, and strategic business arrangements.
- Provide outside general counsel services to privately held businesses, family offices, and investors, advising on day-to-day legal and business issues.
- Support clients through all stages of the business life cycle, including entity formation, corporate governance, and compliance.
- Assist with joint ventures, strategic partnerships, and other transactional matters.
- Collaborate with clients to deliver practical, business-oriented solutions informed by industry best practices.
- Manage risk analysis and due diligence workstreams for transactions as needed.
Senior Counsel Qualifications:
- J.D. from an accredited law school; admitted and in good standing in at least one U.S. jurisdiction.
- 8+ years of experience in commercial contracts and transactional work, preferably in a law firm or in-house setting.
- Strong drafting and negotiation skills with attention to detail and ability to manage multiple projects.
- Experience advising on corporate governance and compliance matters.
- Excellent communication skills and ability to build strong client relationships.
