Corporate Paralegal

A publicly traded industrial technology company is seeking an experienced Corporate, Securities & M&A Paralegal to support its legal department. This role will assist with SEC reporting and compliance, corporate governance matters, subsidiary management, board and committee support, and domestic and international M&A transactions. The ideal candidate will have experience supporting a public company legal function and thrive in a fast-paced, collaborative environment.

Key Responsibilities

  • Assist with the preparation and filing of SEC reports, including Forms 10-K, 10-Q, 8-K, proxy statements, Section 16 filings, and other securities-related documents.
  • Support corporate governance activities, including board and committee meetings, preparation of meeting materials, resolutions, minutes, and maintenance of corporate records.
  • Manage domestic and international subsidiary records, entity formations, dissolutions, annual filings, and governance documentation.
  • Assist attorneys with mergers, acquisitions, divestitures, and other strategic transactions, including due diligence, closing coordination, and post-closing integration activities.
  • Maintain corporate records and legal entity databases.
  • Support insider trading compliance, equity administration, and related corporate policies and procedures.
  • Coordinate with external counsel, internal stakeholders, and business teams on various corporate legal matters.
  • Conduct legal and corporate research and assist with special projects as needed.

Qualifications

  • Bachelor's degree and/or Paralegal Certificate preferred.
  • 5+ years of corporate paralegal experience, preferably with a publicly traded company or law firm.
  • Experience supporting SEC reporting, corporate governance, and transactional matters.
  • Familiarity with public company compliance requirements and board processes.
  • Strong organizational skills with the ability to manage multiple priorities and deadlines.
  • Excellent attention to detail, communication, and project management skills.

  • Public company securities and governance experience.
  • M&A transaction support experience.
  • Experience managing domestic and international subsidiaries.
  • Familiarity with stock administration, insider trading compliance, and SEC filings.
