A growing, mission‑driven organization in the renewable energy sector is seeking a Corporate Counsel to join its Legal team in San Francisco, New York City, or Durham on a hybrid work schedule. About the Role

The Corporate Counsel will serve as the primary legal support for project finance, M&A transactions, and a wide range of commercial contract negotiations. Reporting directly to the General Counsel, this role is highly strategic and involves partnering closely with internal business leads to structure, negotiate, and close complex transactions.

In this role, you'll contribute to deal strategy, advocate for business objectives, and frequently lead negotiations from both a legal and commercial perspective. You'll also work closely with experienced professionals across development, finance, construction, operations, and procurement, with ample opportunity to deepen your industry expertise.


Key Responsibilities

  • Lead legal strategy for financing transactions involving solar and battery energy storage projects, including construction financing, term debt, tax equity, and refinancing.
  • Assist in structuring project finance transactions and developing transaction plans in partnership with finance teams.
  • Draft and negotiate core financing documents (loan agreements, partnership agreements, security agreements, guarantees).
  • Serve as legal lead for acquisitions and sales of renewable energy assets at all stages of development, construction, and operation.
  • Draft and negotiate purchase and sale agreements, disclosure schedules, and other transaction documents.
  • Negotiate directly with lenders, investors, buyers, sellers, and other commercial parties.
  • Coordinate due diligence efforts across internal teams.

Additional Responsibilities

  • Draft and negotiate commercial contracts such as PPAs, service agreements, consulting agreements, NDAs, and other business contracts.
  • Manage internal paralegal resources supporting transactions and contract processes.
  • Oversee outside legal counsel engaged for project finance, M&A, and development matters.
  • Collaborate with internal leadership, investment committees, boards, and external financial partners to approve and execute key agreements.
  • Serve as a problem‑solver and advisor for internal teams on emerging issues.
  • Work collaboratively with other in‑house attorneys on cross‑functional matters.

Qualifications

  • J.D. from an accredited law school and active license to practice.
  • 5+ years of experience in a law firm or in‑house legal environment.
  • Experience negotiating project finance (including tax equity) and M&A transactions within the renewable energy sector.
  • Experience with construction agreements, procurement agreements, and PPAs is a plus.
  • Strong commercial awareness and ability to deliver business‑oriented legal solutions.
  • Exceptional communication and interpersonal skills.
  • Strong organizational abilities and comfort managing multiple deadlines.
  • Capacity to analyze complex legal and commercial issues and deliver clear, actionable guidance.
