Corporate Counsel - High-Growth Tech Company | Bay Area (On-Site)
Larson Maddox is partnering with a high-growth technology company based in the Bay Area to hire a Corporate Counsel. This is a high-impact role reporting directly to the General Counsel on a lean legal team. The right person will have meaningful ownership and a clear path to grow within the function.
The Role
You'll serve as the team's primary securities and corporate counsel, supporting the company's capital markets activity while also acting as a generalist across commercial and corporate matters. Day-to-day includes advising on equity offerings, SEC compliance, as well as corporate governance, disclosure obligations, and board support.
On the commercial side, you'll draft and negotiate supply agreements, distribution and reseller agreements, and NDAs, providing practical legal support across the business.
What We're Looking For
- JD or LLM from an accredited U.S. law school
- 2-6 years of capital markets and securities law experience at a reputable law firm
- Comfort with SEC reporting, equity transactions, and corporate governance
- Strong drafting and communication skills
- CA bar membership or eligibility strongly preferred
- In-house experience is a plus but not required
- A proactive, organized, team-first mindset

Comp
