Position Overview:

We are seeking a highly qualified Associate Attorney with 3-6 years of experience in sophisticated corporate and transactional matters. The ideal candidate will have a strong background in mergers and acquisitions, private equity transactions, and general corporate counseling. Experience with SEC reporting, capital markets, and corporate governance is a plus.

Corporate Associate Attorney Key Responsibilities:

  • Represent private equity firms, public companies, and private businesses in connection with complex M&A transactions.
  • Draft and negotiate purchase agreements, joint venture agreements, and other transactional documents.
  • Advise clients on securities law compliance, SEC reporting obligations, and corporate governance matters.
  • Conduct due diligence and manage deal processes from inception to closing.
  • Collaborate with cross-functional teams to deliver strategic solutions for clients.

Corporate Associate Attorney Qualifications:

  • J.D. from an accredited law school with excellent academic credentials.
  • Bar admission in ideally Tennessee or DC, but open to other jurisdictions as well.
  • 3-6 years of experience in corporate, M&A, and securities law at a leading law firm.
  • Strong analytical, drafting, and negotiation skills.
  • Excellent interpersonal and communication abilities.

Preferred Experience:

  • Exposure to private equity transactions and public company work.
  • Familiarity with SEC reporting and capital markets transactions.
