*Remote* Legal Counsel - Real Estate Finance
A dynamic and growing commercial real estate company is seeking a skilled Real Estate Finance Counsel to join its legal team. This role will focus on supporting complex financing transactions, including loan originations and secondary market activities such as CMBS and loan sales. The ideal candidate will have a strong foundation in real estate finance law and a collaborative approach to working with internal and external stakeholders.
Responsibilities:
- Provide legal support for real estate financing transactions, including loan originations, syndications, and securitizations.
- Draft, review, and negotiate loan documents, intercreditor agreements, participation agreements, and related financing instruments.
- Advise internal teams on structuring transactions to align with business objectives and mitigate legal risk.
- Support CMBS and secondary market transactions, including due diligence and documentation review.
- Collaborate with external counsel, lenders, and rating agencies to facilitate deal execution.
- Monitor regulatory developments affecting real estate finance and capital markets.
- Assist with corporate governance and investment committee processes related to financing activities.
- Maintain organized legal documentation and contribute to process improvements across the legal function.
Qualifications:
- J.D. from an accredited law school; licensed and in good standing with a U.S. state bar.
- Minimum of 3 years of legal experience in real estate finance, preferably within a law firm or in-house legal department.
- Demonstrated experience with loan origination and CMBS or secondary market transactions.
- Strong understanding of commercial real estate finance structures and documentation.
- Excellent drafting, negotiation, and analytical skills.
- Ability to work independently and collaboratively in a fast-paced environment.
- Strong communication skills and business acumen.
