We are working with a Healthcare organization in the Fort Lauderdale area in search of a Counsel with both Real Estate and Corporate skillsets. This organization's portfolio includes addiction treatment centers and mental health resources with the mission to help people by providing comprehensive support and resources.

The Corporate Counsel will collaborate with the Chief Legal Officer and other attorneys to develop and implement legal strategies that align with company values. This role focuses on corporate governance, mergers and acquisitions (M&A), equity issues, and real estate matters. The Corporate Counsel will manage M&A transactions from structure to execution, provide counsel on governance matters, support senior leadership, and stay updated on legal trends. Additionally, this role involves assisting with equity and tax matters, offering legal training, and supporting various transactions and special projects.

Key Responsibilities:

  • Collaborate with the Chief Legal Officer and other attorneys to develop legal strategies in line with company values.
  • Support corporate governance, M&A, and equity issues.
  • Manage M&A transactions, including deal structure, LOI terms, due diligence, drafting and negotiating agreements, and overseeing the deal process.
  • Advise on real estate matters.
  • Provide counsel on corporate governance matters and support senior leadership, including preparing meeting minutes and managing corporate policies.
  • Stay up-to-date on external governance trends, general legal issues, and corporate best practices.
  • Assist the tax team with equity matters and employee education.
  • Provide legal training to management and business partners.
  • Support real estate, corporate, commercial transactions, and special projects as needed.

Qualifications:

  • Juris Doctor (JD) degree from an accredited law school.
  • Admission to the state bar.
  • 6 years of experience in corporate law, with a focus on M&A and corporate governance.
  • Real Estate experience is a plus.
  • Strong understanding of corporate governance, M&A, equity issues, and real estate law.
  • Excellent negotiation, drafting, and communication skills.
