Corporate Attorney
We've partnered with a Global Pharmaceutical Research Company that is seeking a Coporate Counsel to join its dynamic legal team. This is an excellent opportunity for an individual who is seeking to support various aspects of the business and evolve into a true generalist. Reporting directly to the General Counsel, this is a high visibility role with a clear path for progression and the opportunity to make a true impact.
Responsibilities:
- Provide legal counsel on corporate governance matters, including develop and implement corporate governance policies and procedures, and manage and advise on both US and International subsidiaries.
- Advise the board of directors and senior management on governance best practices and ensure compliance with corporate governance regulations and standards.
- Advise on data protection and privacy issues, including GDPR, CCPA, and other global data privacy laws.
- Collaborate with cross-functional teams to ensure company-wide compliance.
- Support and advise on SEC Compliance and related filings.
- Conduct risk assessments and audits to identify and mitigate potential compliance risks.
- Draft and review contracts, agreements, and other legal documents.
- Manage outside counsel.
Requirements:
- Juris Doctorate with experience at a law firm or in-house.
- Experience with Corporate Governance and Securities transactions preferred.
- Knowledge of GDPR, CCPA, and other relevant data privacy regulations preferred.
- Ability to work independently and as part of a team.
- Strong analytical, problem-solving, and communication skills.
