My client seeks to hire a seasoned counsel possessing 6-10 years of experience in commercial transactions. Ideally, this candidate will have a background in supporting business units by structuring and negotiating various transactions, encompassing early-stage investments and M&A affairs.
Responsibilities:
- Lead negotiations of Software as a Service (SaaS) agreements for clients engaging with Fortune 500 customers, ensuring favorable terms and resolving any issues for subject matter expert review.
- Support clients' business units in structuring and negotiating various transactions related to product commercialization and corporate development, such as early-stage investments, joint ventures, and mergers and acquisitions.
- Provide comprehensive legal counsel, collaborating with third-party subject matter experts as needed to develop efficient legal strategies.
- Assist in corporate governance processes, managing internal corporate actions, charters, bylaws, and board meeting materials.
- Collaborate with the Managing Counsel on business development initiatives to foster firm growth.
- Operate autonomously with sound judgment, effectively managing priorities and proactively identifying when to escalate issues to internal and client stakeholders.
Qualifications:
- Juris Doctor (JD) degree and active bar membership in good standing within the
- 6+ years of experience in negotiating SaaS agreements and corporate transactions, preferably in a law firm or corporate legal department.
- Strong understanding of corporate governance principles and practices.
- Excellent negotiation, communication, and interpersonal skills.
- Ability to work independently with minimal supervision while effectively managing multiple priorities.
- Proven track record of driving business growth through strategic legal counsel and collaboration.
- Demonstrated ability to exercise sound judgment and escalate issues as needed.
