Company Summary:
Our client is a Venture Capital Firm in the Denver area that focuses on investing in high growth start-ups. Our client is looking for a Corporate Counsel that has SEC and 1940 act experience. As they expand their portfolio, they are looking for a talented individual who will be able to strategize on the launch of investment products. Preferably, this attorney will also have experience with both public and private funds, specifically closed-end funds.
Job Responsibilities:
- Advise on the strategy and structure of new funds
- Manage the day to day legal operations of the funds
- Provide legal advice on all compliance questions, as well as some minor corporate matters
- Set up compliance programs for funds and advisors
- Work directly with the COO and other C-Suite executives
Qualifications:
- A JD from an accredited Law School
- 6+ years of experience as Corporate Counsel or a similar role
- Experience with the 1940 Act
- Experience with both public and private funds, with a preference for experience with closed end funds
- Experience registering products with the SEC
- Experience setting up compliance programs
