Position Summary
This General Counsel position with a renewable energy company will serve as the senior legal advisor, responsible for overseeing and managing all legal aspects of project development. This role encompasses leadership throughout the lifecycle of projects, from origination through construction, financing, and operations. The General Counsel plays a critical role in ensuring legal compliance and facilitating the successful progression of projects in alignment with regulatory requirements and business objectives.
Responsibilities
- Manage all legal matters related to project developments, including origination, construction, financing, and operations.
- Advise executive leadership on regulatory strategy and emerging compliance issues.
- Draft, review, and negotiate various commercial agreements, including power purchase agreements (PPAs), energy supply agreements, eFuel supply contracts, CO2 supply agreements, and other related contractual arrangements.
- Provide general legal counsel and advice to commercial and operational stakeholders to support successful transaction execution.
- Collaborate with the origination team to structure commercial arrangements such as joint ventures and partnerships involving project stakeholders.
- Draft, review, and negotiate financing agreements for projects, including non-recourse debt, letters of credit, project equity, and government-supported financing programs (e.g., DOE LPO).
- Lead project risk mitigation strategies such as insurance, bonding, and letters of credit.
- Collaborate with the board to establish and implement legal policies, plans, practices, and programs to ensure compliance and mitigate legal risks.
- Manage relationships with outside counsel, establishing procedures for evaluating their quality and cost-effectiveness.
- Ensure timely identification, tracking, and drafting of necessary agreements.
- Stay informed about legal and regulatory developments affecting the renewable energy industry, providing guidance and counsel on compliance matters and risk management strategies.
- Manage land/site agreements, including drafting, reviewing, and negotiating site control agreements (e.g., option to lease or purchase, lease/purchase agreements).
- Develop comprehensive permit and regulatory assessments, and assist in securing necessary permits and approvals for the facilities.
Qualifications
- Minimum of seven to ten years of legal experience with a focus on infrastructure, renewable energy projects, and project finances.
- Strong understanding of tax equity structures, M&A transactions, and contractual agreements, particularly within the renewable energy sector.
- Excellent negotiation, communication, and interpersonal skills, with the ability to collaborate effectively with internal and external stakeholders.
- Proven ability to manage complex legal matters, drive strategic initiatives, and provide practical solutions to business challenges.
- Capacity to thrive in a fast-paced, growth-oriented environment where prioritization and management of multiple activities are essential.
