Salary: $180,000 - $210,000
Summary: Our client, a successful and growing Venture Capital Firm, is seeking a hybrid Associate Counsel to join their team in the San Francisco Bay area. This opening boasts a unique opportunity to interact heavily with founders and co-investors of our client's portfolio companies across the world.
Responsibilities:
- Evaluate and manage venture agreements and legal demands from portfolio firms. These may include M&A transactions, funding rounds, alterations to the terms of the governance, investor rights waivers, restructurings, shareholder voting issues or consents, and regular compliance or corporate governance.
- Diligence support and documentation for accelerator program assessments and procedures.
- Managing the legal assistance for accelerator program issues, marketing-related paperwork, and setting the bar high for accelerator programs.
- Submitting suggestions to the Investment Committee for each of these exercises, keeping track of Investment Committee actions, and ensuring that deal procedures are completed on time.
- Understanding, recognizing, and utilizing fund- and regulatory-related legal concerns that influence decisions pertaining to portfolios.
Qualifications:
- J.D. required
- Minimum 4 years of experience in the Investment Management/Private Funds division of a law firm or direct work at an Venture Capital firm
- Experience with both leadership and management components
- Exceptional analytical and problem-solving abilities, including proficiency in project management
- Intellectually curious with a proactive attitude and work style
