Job Summary

A growing organization is seeking a Technology Transactions Counsel to support its legal team. This role will focus on drafting, reviewing, and negotiating a broad range of commercial agreements while partnering closely with business stakeholders to provide practical, risk-based legal guidance. The ideal candidate will be comfortable managing contract negotiations independently and advising on complex commercial transactions in a fast-paced environment.

Key Responsibilities

  • Lead negotiations of commercial agreements with customers, vendors, suppliers, and strategic business partners.
  • Provide legal guidance on a variety of commercial transactions, balancing legal risk with business objectives.
  • Advise cross-functional teams, including sales, operations, procurement, and leadership, on contractual and commercial matters.
  • Draft, review, and negotiate a wide range of agreements across domestic and international business operations.
  • Create and customize complex agreements as needed, including situations where standard templates are unavailable.
  • Identify legal and business risks and develop practical solutions to support organizational goals.
  • Build strong partnerships across the organization to facilitate efficient decision-making and successful deal execution.

Qualifications

  • Juris Doctor (J.D.) degree and active bar admission in good standing.
  • Experience drafting, reviewing, and negotiating a variety of commercial agreements in either a law firm or in-house environment.
  • Strong understanding of commercial contracting principles and complex business transactions.
  • Ability to manage multiple priorities and deadlines while maintaining a high level of accuracy and attention to detail.
  • Excellent analytical, problem-solving, and organizational skills.
  • Demonstrated ability to work both independently and collaboratively with cross-functional teams.
  • Strong written and verbal communication skills, with the ability to effectively advise stakeholders at all levels of an organization.
  • Business-minded approach to legal counseling and risk management.
  • Willingness to travel as needed.
