SVP, Assistant General Counsel - Prominent Mortgage Servicer
Position Overview
A nationally recognized mortgage servicing company is seeking a dynamic and experienced legal professional to join its legal leadership team as SVP, Assistant General Counsel. This role will focus on providing legal support for capital markets transactions, with a particular emphasis on mortgage securitization and related structured finance activities.
Location
On-site in either Los Angeles Metro Area or Plano, Texas
Key Responsibilities
- Provide legal counsel on mortgage-backed securitizations, structured finance transactions, and capital markets initiatives.
- Draft, review, and negotiate transaction documents including pooling and servicing agreements, indentures, and offering materials.
- Advise internal stakeholders on legal and regulatory issues related to secondary market transactions and investor relations.
- Collaborate with cross-functional teams including treasury, finance, compliance, and operations to support business objectives.
- Monitor and interpret evolving legal and regulatory developments affecting mortgage securitization and capital markets.
- Manage outside counsel and ensure alignment with internal legal strategy and risk tolerance.
Qualifications
- Juris Doctor (J.D.) from an accredited law school and active bar membership in good standing.
- Minimum of 5 years of legal experience with a focus on mortgage securitization, structured finance, or capital markets transactions.
- Strong understanding of the legal and regulatory framework governing mortgage-backed securities and related financial instruments.
- Demonstrated ability to manage complex transactions and provide actionable legal advice in a fast-paced environment.
- Excellent communication, drafting, and negotiation skills.
Preferred Experience
- Prior in-house experience with a mortgage servicer, originator, or financial institution.
- Familiarity with GSE securitization programs, REMIC structures, and investor reporting requirements.
- Experience working with rating agencies, trustees, and institutional investors.
