Senior CRE Attorney
Overview
A leading financial institution is seeking an experienced attorney to provide legal support for its Securitized Products platform, with a primary focus on commercial real estate (CRE) finance and structured products transactions. This role will serve as a key legal advisor to business teams involved in CMBS transactions, commercial mortgage lending, warehouse financing arrangements, and secondary market trading activities.
The attorney will work closely with investment banking professionals, transaction committees, risk management, and compliance teams to structure transactions, manage legal and regulatory risk, and support strategic business initiatives. The position offers broad exposure to securitization, structured finance, and commercial real estate transactions throughout the Americas.
Key Responsibilities
Transactional Legal Support
Provide legal counsel on a broad range of securitized products and commercial real estate finance transactions, including:
- Commercial mortgage-backed securities (CMBS) issuances and underwriting transactions
- Commercial real estate mortgage loan originations
- Whole loan repurchase and warehouse financing arrangements
- Structured finance and securitization transactions
- Commercial real estate-related securities trading activities
Review, draft, negotiate, and advise on:
- Offering documents and disclosure materials
- Underwriting and purchase agreements
- Repurchase and financing agreements
- Engagement letters
- Confidentiality agreements
- Legal opinions and supporting transaction documentation
Support transaction execution from structuring through closing while identifying and mitigating legal risks.
Required Qualifications
- Juris Doctor (JD) degree and active bar membership.
- Significant experience advising on securitization, structured finance, and capital markets transactions.
- Strong understanding of U.S. securities laws and regulatory requirements.
- Demonstrated experience supporting commercial real estate finance and CMBS-related transactions.
- Proven ability to assess and manage legal and regulatory risk in complex financial transactions.
