My client, a leading Fortune 500 aerospace manufacturing company dedicated to innovation, excellence, and the highest standards of quality, is growing their legal team! They are at the forefront of aerospace technology, providing cutting-edge solutions to both commercial and government clients.

Position Overview: The team is seeking a highly skilled and experienced Senior Counsel to join our legal team. This role will focus on commercial contracts, with a specific emphasis on government contracts. The ideal candidate will have a strong background in transactional law, regulatory compliance, and contract negotiation within the aerospace industry.

Key Responsibilities:

  • Draft, Review, and Negotiate Contracts: Draft, review, and negotiate complex commercial and government contracts, ensuring compliance with company policies and applicable laws.
  • Legal Advice: Provide expert legal advice on a broad range of transactional and regulatory matters, including government procurement regulations and compliance.
  • Risk Management: Identify and mitigate legal risks associated with commercial and government contracts.
  • Compliance: Ensure compliance with all relevant laws and regulations, including Federal Acquisition Regulation (FAR) and Defense Federal Acquisition Regulation Supplement (DFARS).
  • Collaboration: Work closely with business teams to understand and support their needs, providing strategic legal input on transactions.
  • External Counsel Management: Manage external counsel and oversee the legal aspects of transactions, including due diligence, negotiation, and closing.
  • Policy Development: Support the continuous improvement of the legal department's processes and policies.
  • Training: Conduct training sessions for internal stakeholders on legal and regulatory requirements related to commercial and government contracts.

Qualifications:

  • Education: Juris Doctor (JD) degree from an accredited law school.
  • Experience: At least 6 years of transactional legal experience, preferably in a corporate or law firm setting, with a strong focus on commercial and government contracts.
  • Skills:
    • Excellent negotiation, drafting, and analytical skills.
    • Strong interpersonal and communication skills, with the ability to effectively communicate legal issues and risks to non-legal colleagues.
    • Demonstrated ability to independently manage a diverse and complex workload.
    • Commitment to upholding the highest standards of legal and ethical conduct.
  • Industry Knowledge: Experience in the aerospace or manufacturing sectors is a plus.
  • Regulatory Knowledge: Familiarity with FAR, DFARS, and other government procurement regulations.
