Senior Counsel Corporate and Securities

Our client is a late-stage clinical biotechnology company developing innovative thearapies across a broad spectrum of indications and is seeking a Senior Corporate Securities Counsel to join its Legal team. Reporting directly to the Head of Legal, this individual will play a critical role in supporting the company's corporate governance, securities law compliance, financing activities, strategic transactions, and public company readiness initiatives as the organization advances toward a potential IPO.

This is a highly visible position that will partner closely with executive leadership, finance, investor relations, human resources, and external counsel. The role is ideal for someone looking to combine sophisticated securities and capital markets work with broader exposure to strategic transactions and leadership responsibilities in a high-growth biotechnology environment. The company is seeking a motivated professional who is excited by the opportunity to help build legal infrastructure, support transformational growth, and develop into a long-term leader within the organization.

Key Responsibilities

  • Provide primary legal support for public company reporting and SEC compliance
  • Provide advice regarding securities law disclosure/compliance, including Annual Reports Quarterly Reports on Form 10-Q, Current Reports on Form 8-K, SEC registration statements, the annual meeting proxy statement, and the annual meeting of stockholders
  • Provide legal advice and counseling with respect to equity-based compensation plans, executive compensation matters and Section 16 reporting
  • Provide securities law advice and compliance guidance for earnings releases, investor materials, management presentations and other communications.
  • Provide training on various corporate policies, including insider trading and Regulation FD
  • Manage and provide guidance on internal processes for employee equity
  • Assist with providing legal support to Board of Directors and Board Committees, which includes advising on substantive legal matters, developing meeting agendas, and preparing materials for Board/Committee meetings
  • Assist with the corporate secretary function and various other corporate secretarial matters
  • Provide legal support on financing matters
  • Advise on other legal matters that arise across various functions within the company
  • Manage outside counsel as needed in connection with executing above responsibilities and duties

Qualifications

  • J.D. from an accredited law school and active membership in at least one U.S. state bar
  • 8-10 years of experience in both a law firm and Life Sciences company with relevant corporate, securities, capital markets, M&A, or governance experience
  • Strong knowledge of the Securities Act of 1933, Securities Exchange Act of 1934, SEC reporting and disclosure requirements, corporate governance, and capital markets transactions
  • Experience advising public and private companies on transactional, governance, and disclosure matters
  • Excellent drafting, negotiation, project management, communication, and judgment skills
  • Experience supporting an IPO, public company transition, or public company compliance program preferred
