Senior Corporate Counsel

An innovative, rapidly growing infrastructure company is seeking a Commercial Counsel to join its legal team and support the continued expansion of its operations across the United States. The organization develops and operates large-scale consumer-facing infrastructure projects and is transforming a traditional industry through technology, real estate development, and strategic partnerships. This attorney will serve as the primary legal resource for commercial contracting while partnering closely with senior leadership and cross-functional stakeholders across development, construction, finance, operations, technology, marketing, and real estate.

The ideal candidate is a practical, business-minded attorney who thrives in a fast-paced, entrepreneurial environment. This individual will independently manage sophisticated commercial negotiations, provide risk-based legal guidance, improve contracting processes, and help build scalable legal infrastructure to support a high-growth business.

Key Responsibilities

Commercial Contracting

  • Draft, review, negotiate, and manage a wide variety of commercial agreements, including vendor contracts, services agreements, procurement and supply agreements, technology agreements, marketing agreements, confidentiality agreements, and strategic partnership arrangements.
  • Support contracts related to development and construction projects, including agreements with architects, engineers, contractors, consultants, utilities, municipalities, and other external stakeholders.
  • Develop and maintain contract templates, negotiation playbooks, and internal processes to improve efficiency and consistency.
  • Track contractual obligations, renewal dates, milestones, and risk exposure across a diverse contract portfolio.

Business Partnership & Legal Advisory

  • Provide practical legal advice to business teams regarding commercial, operational, and strategic risks.
  • Partner with key stakeholders to structure transactions and facilitate business objectives while appropriately managing legal exposure.
  • Escalate significant or novel legal issues with recommended solutions and risk assessments.
  • Support a broad range of corporate legal matters, including real estate, compliance, governance, employment, privacy, and regulatory issues as needed.
  • Assist with outside counsel management and oversight of insurance-related matters and risk management initiatives.

Qualifications

Required

  • Juris Doctor from an accredited law school and active bar membership in at least one U.S. jurisdiction.
  • 5+ years of legal experience gained in private practice, an in-house legal department, or a combination of both.
  • Significant experience drafting, reviewing, and negotiating complex commercial agreements.
  • Strong understanding of contract law, risk allocation, and commercial negotiation strategy.
  • Experience supporting agreements in one or more of the following areas: infrastructure, development, construction, energy, utilities, land use, real estate, or related industries.
  • Excellent communication, judgment, prioritization, and stakeholder management skills.
  • Ability to operate independently in a high-growth, deadline-driven environment.

Preferred

  • Experience supporting construction, development, real estate, energy, utilities, retail, or other site-intensive businesses.
  • Exposure to growth-stage, venture-backed, or rapidly scaling organizations.
  • Experience implementing or managing contract lifecycle management (CLM) systems and legal operations processes.
  • Ability to advise on a broad range of business issues beyond core commercial contracting responsibilities.
