Senior Commercial Counsel

Job Overview:

An established FinTech is in search for a Senior Commercial Counsel to join its legal team and become an immediate key factor for its growing business. In this role, you will lead the drafting and negotiation various commercial agreements, as well as assist the General Counsel in a multitude of corporate matters. This opportunity offers a hybrid work model and a cash bonus in addition to the listed base salary range.

Job Responsibilities:

  • Prepare, review, and negotiate a wide range of business agreements, including vendor contracts, service arrangements, licensing deals, independent contractor engagements, product-related agreements, and employment documentation.
  • Support adherence to applicable data privacy regulations and internal governance standards, ensuring organizational compliance across operations.

  • Drive efficient use and continuous improvement of contract management tools, enhancing workflow, tracking, and document retention processes throughout the contract lifecycle.

  • Update and maintain customer-facing terms and conditions in alignment with evolving product features and business initiatives.

  • Assess legal and regulatory considerations tied to both new offerings and enhancements to existing products, including identifying licensing requirements when applicable.

  • Monitor and contribute to analysis of legislative and regulatory developments related to earned wage access and similar financial products.

  • Participate in corporate initiatives such as capital raising activities, diligence processes, and strategic collaborations.

  • Support the development, maintenance, and defense of intellectual property assets, both within the U.S. and internationally.

  • Work closely with external legal advisors on specialized matters, including those involving global expansion.

Job Qualifications:

  • Juris Doctor (J.D.) from an accredited institution and active membership in at least one U.S. state bar (California admission preferred).
  • Minimum of 4 years of relevant legal experience, ideally including time spent in private practice.
  • Strong written and verbal communication skills, with the ability to collaborate effectively across teams.
  • Ability to independently manage priorities in a fast-paced environment while handling multiple concurrent matters.
  • Demonstrated experience negotiating and drafting technology-related commercial agreements, along with exposure to corporate transactions and/or digital assets.
