Sales/Supply Chain Transactions Counsel

Overview:
A leading aerospace manufacturer is seeking a Legal Counsel to support aircraft sales, commercial transactions, and supply chain operations. This role will partner closely with business teams across sales, procurement, and program management to support complex, high-value transactions and ongoing commercial relationships.

Key Responsibilities:

  • Draft, review, and negotiate aircraft purchase agreements, amendments, and related sales documentation
  • Support commercial and government-facing transactions, including customer agreements, services arrangements, and financing-related deal structures
  • Advise procurement and supply chain teams on vendor agreements, long-term supply arrangements, and strategic sourcing initiatives
  • Counsel internal stakeholders on risk allocation, indemnities, warranty provisions, delivery terms, and performance obligations
  • Provide day-to-day legal guidance on contract interpretation, compliance, claims management, and dispute resolution
  • Partner with sales, finance, operations, and program leadership to structure and execute transactions aligned with business objectives
  • Coordinate with outside counsel on discrete issues, including disputes and regulatory matters, as needed
  • Support continuous improvement of contract templates, processes, and commercial standards

Qualifications:

  • 4-12 years of relevant experience at a law firm and/or in-house
  • Strong background in commercial and transactional work, ideally including asset sales or manufacturing-related agreements
  • Experience with supply chain, procurement, or vendor-facing contracts
  • Familiarity with aerospace, defense, or regulated industries is a plus
  • Ability to operate independently and communicate effectively with business stakeholders
