Known for its successful market presence and forward-thinking approach, the organization is seeking a Corporate Paralegal to support its legal operations. This role offers the chance to work on high-impact initiatives in a collaborative, fast-paced environment where legal precision and operational agility are key to continued success.

Responsibilities

  • Assist with preparation and filing of SEC reports, including Forms 10-K, 10-Q, 8-K, and proxy statements, as well as Section 16 filings (Forms 3, 4, and 5).
  • Support corporate governance processes, including board and committee meeting logistics, director and officer questionnaires, and maintenance of electronic board portals.
  • Coordinate with transfer agents, stock plan administrators, and internal stakeholders on equity-related matters, including 10b5-1 plans and legal opinions.
  • Manage subsidiary governance and compliance documentation, including formation filings, apostilles, certified copies, and organizational charts.
  • Administer contract lifecycle processes, including drafting and reviewing NDAs, vendor agreements, and service contracts, and maintaining a centralized contract database.
  • Contribute to legal operations initiatives, including policy development, legal tech implementation, and cross-functional collaboration with finance, HR, and other departments.

Requirements

  • Bachelor's degree or paralegal certificate with 6+ years of experience in a law firm or in-house legal department at a public company.
  • Strong background in corporate governance, securities compliance, and board support.
  • Ability to manage multiple priorities in a fast-paced environment.
  • Proficiency with governance technology and electronic board portals.
  • Excellent communication, organizational, and proofreading skills.
  • International experience and Notary Public certification are a plus.
